We are a team of five lawyers providing support to the securitised derivatives and structured products businesses within the Corporate Investment Bank in EMEA (CIB), with particular focus on the Retail Derivatives Products business (RDP). We are based at 25 Bank Street, Canary Wharf in London.
The RDP business focuses on the structuring and execution of products that are intended for distribution to retail and high-net worth investors through a number of legal wrappers issued via on-balance sheet subsidiaries, special purpose vehicles and third party MTN programmes. The products span across a full spectrum of asset classes including equity, credit, FX, commodity, rates, inflation, exotics & hybrids and funds. The business also has the capability to offer Shariah-compliant structured products for retail distribution.
The candidate’s role will include identifying and advising the business on legal, regulatory and cross-border issues in delivering products to the end market and assisting with the structuring, execution and documentation of transactions. The candidate will be involved in an interesting mix of transactions ranging from private placements of flow products, public offers involving one or multiple European jurisdictions to highly customised, complex products that are tailored to the investor’s investment criteria. The team is responsible for the CIB’s Reg S issuance programmes which are utilised globally. The candidate will be working with other team members in maintaining the programmes, adding functionality to existing programmes and establishing new issuance platforms. The team also manages any regulatory implementation for the securitised issuance business in EMEA.
The candidate will also be involved in automation and templating initiatives collaborating with internal and external technology service providers to deliver automated documentation solutions. This is a high profile and technically challenging area which the business and legal departments have identified as a strategic growth area within the CIB.
Essential skills, qualifications and experience
This role would suit a lawyer with strong academics, preferably within a top tier law firm or investment bank.
Lawyer must be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction
Team player, confident and proactive, with interest in working closely with the business
Exceptional organisational and communication skills
Excellent drafting skills, including the ability to draft "plain language" disclosure documents
Experience with debt capital markets, structured products and derivatives documentation (including familiarity with ISDA derivative definitions in particular equity and credit)
Familiarity in negotiating distribution agreements and licence agreements
Strong interest in transactional and policy work, including regulatory implementation
Good commercial awareness, with ability to advise the business on cross-border issues spanning across multiple asset classes and product wrappers
