The Legal Department of the Firm has a number of key operations to meet our obligations to various regulatory oversight and investigative bodies as necessary. This includes obligations to regulatory bodies of legal entities, in the U.S. and around the world, that regulate our business as well as to civil and criminal investigation authorities or adversarial counsel. Legal is organized by practice groups that conform to the organization of the Firm’s lines of business and corporate staff areas. Each practice group has a General Counsel who reports to the Firm’s General Counsel. This structure provides the means for the Legal teams to communicate legal and regulatory changes to the businesses and staff areas and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the Legal teams in a timely manner.
The Office of the Secretary (“OTS”) is a practice group within the Legal Department. OTS partners with senior management, control groups, lines of business, and corporate units to promote effective governance of the Firm, its branches, subsidiaries, and affiliates. It operates through a corporate team and regional hubs, in New York, London (for Europe, the Middle East, and Africa), and Hong Kong (for Asia Pacific). OTS also works closely with the Firm’s Board of Directors and is responsible for the coordination of Board meetings and materials. OTS has responsibility for the Firm’s proxy statement as well as various other public filings and interfaces regularly with JPMC’s shareholders on governance matters. In addition, members of the practice group are involved in various industry initiatives to consider best practices for the banking industry as a whole.
The Office of Legal Obligations (“OLO”) is a firmwide, global initiative that draws on the combined expertise of Legal (including OTS), lines of business, and corporate functions to improve the legal and regulatory control environment of the Firm. The key objectives of the OLO include:
- documenting the Firm’s material legal obligations arising from laws, rules, and regulatory requirements,
- connecting those legal obligations to policies, procedures, and other documents that support compliance with those laws, rules, and regulatory requirements, and
- helping the Firm to monitor for legal and regulatory changes and to manage those changes.
OTS seeks an experienced attorney with strong interpersonal and collaborative skills to lead OTS’ participation in the OLO initiative for North America. The role requires managing a large number of legal obligations applicable to OTS and confirming OTS’ control environment relating to those legal obligations. This work entails extensive coordination with OTS attorney counterparts in Asia and Europe; other lawyers across the Legal Department; business leaders; and colleagues from the Compliance, Risk, and Oversight & Controls departments. The environment is fast-paced, often requiring that issues be addressed rapidly to ensure the Firm maintains first-class understanding of rapidly-evolving legal obligations in a highly-regulated industry. For the right candidate, this position offers the opportunity to learn and develop expertise about corporate governance, banking law, and securities law obligations applicable to legal entities and boards of directors in the context of a large global bank.
Primary Responsibilities will include:
Review legal citations and summaries of legal obligations that have been identified as potentially applicable to OTS, to determine whether and how the obligations apply to OTS
For legal obligations applicable to OTS, evaluate the existing OTS control environment, including OTS policies and procedures, holding company and bank “forward calendars,” committee charters, and other documents, including those used in heightened standards self-assessments
Draft and revise policies, procedures, and other documents as needed
Draft additional summaries of legal obligations as needed
Facilitate all necessary reporting to central project managers
Support the integration of “machine learning” being developed in-house to maintain data about OTS legal obligations
JD or educational equivalent required. Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment
Must have at least 5 years of experience practicing law post-JD
- Minimum of 5 years’ experience working with legislation or regulation of financial services or other highly regulated industries. Experience with corporate governance law, securities law, and/or banking law preferred
- All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment
