Job Description:
J.P. Morgan Bank Luxembourg is seeking to recruit a company secretarial professional to take direct responsibility for the provision of company secretarial services to our clients.
 
Key responsibilities
 
Operational
•Preparation of board and committee papers
•Attendance at board and shareholder meetings
•Drafting of minutes of meetings
•Drafting of circular resolutions
•Preparation of statutory filings
•Liaison with CSSF, RCS,  Luxembourg Stock Exchange and the Luxembourg tax authorities
 
Client/Service Delivery
•Ensure timely delivery of all client outputs (including those originating from outsource service
partners)
•Adopt flexible approach to ensure client deadlines are met
•Recommend and/or initiate corrective action when service levels fall short of standard
•Proactively work to maintain and enhance client relationships
•Assist with the planning of client meetings and visits
•Assist with the take on of new business
 
Control/Risk
•Ensure full functional understanding of (and compliance with) operational risk processes & controls
•Identify and remediate any risk issues in accordance with internal risk policies
•Assist with the preparation of procedures & checklists and ongoing review of existing  procedures & checklists
  • Some experience of providing company secretarial support to Luxembourg domiciled companies
  • Knowledge of or willingness to learn:
  • Luxembourg commercial law and fund administration
  • CSSF rules and regulations in respect of all Luxembourg regulated companies and funds
  • Luxembourg Stock Exchange rules and regulations
  • Corporate Governance best practice
  • Administration and office experience
  • Excellent presentation, interpersonal and communications skills - both written and oral
  • Excellent organisation skills and the ability to multi manage tasks
  • Ability to liaise effectively with peers and clients at various level of seniority
  • Must be pro-active and responsive
  • Must have the ability to work accurately under pressure and to tight deadlines
 
Language skills
  • Fluent English (oral and written)
  • Fluency in French and/or Dutch (oral and written) would be advantageous
