J.P. Morgan Bank Luxembourg (‘JPMBL’) is seeking to recruit a qualified / experienced company administration professional at Associate level to take direct responsibility for the provision of company administration support for a number of client companies, which include Investment vehicles (UCITS Funds, SIFs, SPVs) and other types of companies (Management Company, General Partners).



  • Responsible for the day to day company administration support for a number of client companies
  • Assist with the preparation, compilation, and dispatch of board papers
  • Attendance at board and shareholder meetings
  • Drafting minutes of meetings
  • Drafting circular resolutions
  • Maintenance of statutory registers, minute books and safekeeping of other corporate agreements
  • Acting as Listing Agent for JPMBL on behalf of client companies
  • Liaison with the CSSF and Luxembourg Stock Exchange to ensure that all filings are made in a timely manner
  • Liaison with external auditors and legal counsel
  • Arranging for the payment of director fees and filing of associated tax declarations
  • Provision of input to identify areas for improvement within team function



  • Ensure full functional understanding of operational risk processes
  • Escalate any risk issues in accordance with internal risk policies to line manager
  • Assist with the preparation of procedures & checklists and to ensure that existing procedures & checklists remain current

Client/Service Delivery

  • Ensure timely delivery of all client outputs
  • Recommend and/or initiate corrective action when service levels fall short of standard
  • Adopt flexible approach to ensure client deadlines are met
  • Proactively work to maintain and enhance client relationships
  • Assist with the planning of client meetings and visits
  • Assist with the take on of new business

Qualifications / Experience:
  • ICSA qualified or equivalent legal qualification
  • Experience providing company administration support to Luxembourg domiciled companies (experience providing company administration to private equity vehicles would be advantageous)
  • Technical knowledge of:
  • Luxembourg Commercial Law
  • UCITS and SIF Laws
  • Rules and Regulations of the Luxembourg Stock Exchange
  • Knowledge of funds industry developments and trends desirable
  • Excellent presentation, interpersonal and communications skills - both written and oral
  • Excellent analytical, judgment and prioritisation skills
  • Ability to assist in identifying systems and change processes changes desirable
  • Ability to liaise effectively with peers and clients at various levels of seniority
  • Must be pro-active and responsive
  • Must have the ability to work accurately under pressure and to tight deadlines
Language requirements:

•     Fluency in English (oral and written)

•     Fluency in French or German (oral and written) would be advantageous
