The Legal Department of JPMorgan Chase & Co is responsible for the provision of legal services to the Corporation and is organized by practice groups that generally align with the Corporation’s lines of business and corporate staff areas.  This structure encourages legal teams and businesses and staff areas to discuss legal, regulatory and business developments effectively and in a timely manner.

 

The Technology Legal Practice Group, which reports to the Corporate and Regulatory Law General Counsel, provides legal coverage across all LOBs in the areas of Intellectual Property, Cybersecurity, Privacy, Technology Transactions, and Emerging Technologies.  The Technology Legal Practice Group is currently seeking a highly motivated, results-oriented Documentation Specialist. Under the guidance and direction of the bank’s Legal counsel, this professional will primarily handle the structuring, drafting, negotiation and analysis of agreements for the acquisition of global and domestic technology products and services, including software licenses, hardware and related support services.

 

Amongst other responsibilities, the Documentation Specialist will:

  • Review, interpret and analyze agreements with suppliers, advising clients and partners on rights and responsibilities related to those agreements, including compliance with JPMorgan Chase policies and regulatory requirements.
  • Responsible for end-to-end management of negotiations, navigation of internal processes and coordination on behalf of the client to reach timely and successful execution of agreements.
  • Responsible for interpreting client needs and contractual requirements from information provided by internal business partners.
  • Negotiate standard and customized contracts, as supervised by bank’s Legal counsel, in order to minimize the risk to the business through strict adherence to policies, procedures, and regulatory requirements.
  • Responsible for obtaining and tracking internal exception approvals.
  • Provide tracking on status of contracts by maintaining up-to-date transaction information and providing reporting.
  • Analyze existing legal documents for conformance to the firm’s policies and procedures and regulatory requirements.
  • Provide guidance and subject matter expertise on documentation to internal business partners.
  • Communicate effectively with internal business partners.
  • Contribute to the development and maintenance of negotiation guidelines, training materials and procedures.
  • Perform legal research on technology, intellectual property and contractual issues, as needed.

Qualifications:
  • Undergraduate degree and minimum 2+ years’ experience in a law firm or corporate law environment or equivalent experience drafting and negotiating customized transactions with large multi-product global client base.  MBA/JD and/or paralegal certificate desirable.
  • In-house experience in the financial services industry and/or technology industry desirable.
  • Experience in negotiating contracts for technology transactions with third party providers preferred, including software licensing/support, software as a service, equipment purchase/maintenance, consulting, professional and other services agreements.
  • Familiarity with privacy, intellectual property, outsourcing, offshoring, contracting and related regulatory and risk environments desirable.
  • Strong analytical, problem-solving and legal research skills.
  • Strong business judgment and strategic thinking.
  • Proven ability to independently identify issues, analyze problems and provide viable solutions.
  • Excellent verbal, written, interpersonal, and organizational skills.
  • Ability to work under pressure, handle deadlines, and manage multiple tasks in a high performance environment.
  • Ability to follow up on assignments in a timely manner, exercise good business judgment and work accurately under pressure.
  • Ability to work independently and in a team environment.
  • Proficiency in Microsoft Word, Excel, Power Point and SharePoint desirable.
