The Legal Department of the Firm has a number of key operations to meet our obligations to various regulatory oversight and investigative bodies as necessary.  This includes obligations to regulatory bodies of legal entities around the world that regulate our business, as well as to civil and criminal investigation authorities or adversarial counsel.  Legal is organized by practice groups that conform to the organization of the Firm’s lines of business and corporate staff areas.  Each practice group has a General Counsel who reports to the Firm’s General Counsel.  This structure provides the means for the Legal teams to communicate legal and regulatory changes to the businesses and staff areas and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the Legal teams in a timely manner.
The Office of the Secretary (“OTS”) is a practice group within the Legal Department. It operates through a corporate team and regional hubs, in New York, London (for Europe, the Middle East, and Africa: “EMEA”), and Hong Kong (for Asia Pacific). Its key objectives are to:
  • promote effective and consistent governance of the firm’s legal entities and branches through its partnerships with senior management, directors, control groups, lines of business and corporate units; and
  • provide directors, senior management and Legal Entities with advice, support and training across corporate governance matters, including in relation to relevant laws and regulations, governance practices and legal entity management.
OTS also organizes board and board committee meetings and briefs directors on their legal duties and on board governance practices.
The Office of Legal Obligations (“OLO”) is a firmwide, global initiative that draws on the combined expertise of Legal (including OTS), lines of business, and corporate functions to improve the legal and regulatory control environment of the Firm.  The key objectives of the OLO include:
  • documenting the Firm’s material legal obligations arising from laws, rules, and regulatory requirements,  
  • connecting those legal obligations to policies, procedures, and other documents that support compliance with those laws, rules, and regulatory requirements, and
  • helping the Firm to monitor for legal and regulatory changes and to manage those changes.
Position Overview
OTS seeks an experienced lawyer with strong interpersonal and collaborative skills to lead OTS’ participation in the OLO initiative for EMEA.  This role will be based in London, reporting directly or indirectly to the Head of OTS EMEA. 
The role requires managing multiple legal obligations applicable to OTS in EMEA, confirming OTS’ control environment relating to those obligations and, where deemed necessary, drafting appropriate procedures to support compliance with the obligations.  This work entails extensive coordination with OTS legal counterparts across the Firm; other lawyers across the Legal Department; business leaders; and colleagues from the Compliance, Risk, and Oversight & Controls departments, with a view to linking obligations to controls that evidence compliance, including policies, self-assessments, training and monitoring. 
The environment is fast-paced, often requiring that issues be addressed rapidly to ensure the Firm maintains first-class understanding of rapidly-evolving legal obligations in a highly-regulated industry.   Strong analytical and collaborative skills will be important, together with the ability to work independently and be a true “self-starter”, as well as excellent written and communication skills.
For the right candidate, this position offers the opportunity to learn and develop expertise about corporate governance, banking law, and securities law obligations applicable to legal entities and boards of directors in the context of a large global bank.


Qualifications, skills and experience:


  • Qualified lawyer, preferably in England & Wales and/or another EU jurisdiction
  • Would suit a candidate with between 5 and 7 years of relevant legal, corporate governance or comparable experience
  • Sound knowledge of company law, corporate governance and the regulatory framework governing financial services businesses
  • Experience in regulatory reporting/filing is an advantage
  • Ability to work as a collaborative and proactive member of a team
  • Must be meticulous, organized and take pride in work
  • Ability to work in a fast-paced environment and within tight deadlines
  • Strong interpersonal, presentation and communication skills
  • Ability to build good working relationships with multiple stakeholders
  • Excellent written and spoken English is imperative; ability to read, write and speak other European languages is an advantage

  • Good judgment as to when to resolve matters independently and when to escalate unusual or sensitive matters
