This role is for a talented lawyer in the EMEA Markets Practice Group providing support to the structured derivatives business within a leading US investment bank. The role focuses on structured OTC derivatives, predominantly referencing equities, but also referencing funds, commodities, credit, rates and hybrid combinations of these asset classes.   The Markets Practice Group provides coverage for a variety of businesses, including the structured derivatives business across Europe, the Middle East and Africa.  This is a high profile and technically challenging role requiring strong drafting skills and a strong understanding of the legal and commercial aspects of equity and other derivative transactions across a variety of markets, including the French market.  The successful candidate will report to a senior lawyer within the Markets Practice Group.
 
Core Responsibilities:
 
  • Working closely with the business from inception to close of transactions.
  • Liaising with other internal departments (e.g. compliance, credit, tax, middle office and risk).
  • Providing assistance to the business in structuring complex deals.
  • Drafting and negotiating structured OTC derivative confirmations in relation to stand-alone and securitised or fund wrapped deals and working on structured securitised products for institutional and retail clients.
  • Working with the business to draft proprietary index rules and resolve legal issues surrounding the establishment of the indices.
  • Identifying and resolving legal and regulatory issues affecting the Equity Derivatives business.
Essential Skills/Experience
 
  • Fluent in English and French.
  • Lawyer must be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction
  • Significant and long standing experience with FBF and ISDA derivatives documentation.
  • Excellent judgement, drafting and analytical skills.
  • Enthusiastic team player.
  • Familiarity with and strong interest in the regulatory and policy framework for ISDA based transactions.
  • Exceptional organisational and communication skills.
  • Confident and proactive, with an interest in working closely with the business.
 
Desirable Skills/Experience
 
  • Experience with multiple asset classes and proprietary indices and related legal and regulatory issues.
  • Familiarity with structured funds and securitised derivatives.
