The Contract Specialist role is a new Business-aligned function within J.P. Morgan Asset Management that is responsible for working with Institutional Clients and various internal stakeholders to facilitate new and existing client business through the negotiation of Investment Management Agreements (“IMAs”). The Contract Specialist will work in close partnership with the Legal department and Client Account Managers to draft, negotiate, and finalize various terms and provisions in the agreements with clients to ensure JPMAM manages client assets in accordance with the terms of the agreement, its risk appetite and internal control standards. The Contract Specialist will also assist the Client Advisors in prospecting new business by providing input on various IMA related provisions in the Request for Proposals (RFPs).
As a Business owner of the IMAs, the Contract Specialist will obtain a robust understanding of the business practices associated with JPMorgan Asset Management’s multiple asset classes and product groups, the internal views on the various terms in the agreements, and the risk agreeing to deviations thereof. S/he will collaborate closely with other internal groups within the firm (i.e. Client Advisors, Investment teams, Product Teams, Operations, Compliance, Fee Billing, etc.) to get input on various provisions, help resolve complex issues, and ultimately finalize agreements with Institutional Clients. The Contract Specialist will ultimately serve as the primary point of contact in the Business for the IMAs. S/he will be responsible for educating internal teams and functional areas on the content and issues in the agreements, organizing information and meetings in relation to them (including updating stakeholders on the key issues and status of the negotiations), tracking the terms of the agreements for downstream and senior management reporting purposes, being an escalation point for any questions or issues that arise in relation to an IMA or related document, and providing summaries on outstanding negotiations as needed. S/he will work with their Legal and Business partners to produce and/or maintain negotiation guides, procedures and training materials for the IMAs and help develop a broader understanding throughout the organization of the issues that arise in the IMAs. S/he will also work closely with their colleagues in London and Hong Kong to align the business terms and positions on the agreements, as well as to facilitate globally consistent procedures and escalation/approval processes where appropriate.
Drafting and negotiating Investment Management Agreements and any ancillary documentation to progress new and incremental client business
Collaborating closely with various internal stakeholders to resolve outstanding issues
Summarizing outstanding points and risk/control points for senior management to facilitate informed decision making
Providing transparency and insight over various provisions in the client documentation to allow business to asses risk profile v. revenue opportunities
Constructing recommendations as to how to improve IMA negotiation process for key clients
Working in partnership with colleagues in other regions to provide globally consistent commercial terms, negotiation processes and escalation procedures
College Degree (BA) required. JD and admission to bar preferred.
Excellent communication and presentation skills (both oral and written), able to clearly articulate complex issues
Robust understanding of IMAs for various client types, including common issues and risks of agreeing to certain terms
Ability to work effectively in a fast-paced environment with often aggressive deadlines
