Equity Finance
 
Equity Finance is part of the wider Prime Brokerage business. As one of the largest borrowers of debt and equity securities globally, J.P. Morgan’s market-wide access to external supply, coupled with its extensive internal inventory, provides Prime Brokerage clients as well as various internal businesses, broad global access to stable supply of securities, including hard-to-borrow supply.
 
Opportunity
This opportunity is to join the legal team supporting the Equity Finance Business.
 
Key responsibilities:
  • Advising the Equity Finance Businesses in EMEA on all legal and documentation related issues.
  • Negotiating the GMSLA, the GMRA and any related ancillary documentation, (including Collateral Management Agreements, Trade Confirmations etc.,) with various counterparties.
  • Negotiating confidentiality agreements/non-disclosure agreements.
  • Providing day-to-day legal advice and guidance in relation to the flow business and general ad hoc legal advice.
  • Attending internal and external meetings.
  • Instructing and liaising with external counsel, as required, including carrying out review and analysis of legal opinions e.g. collateral confidence/enforceability opinions.
  • Keeping abreast of, and advising the business on, key legal and regulatory issues and developments.
  • Maintaining close coordination with relevant derivatives colleagues in relation to derivatives products and linkage with the Equities Prime Brokerage product offering.
  • Liaising with business representatives and legal/compliance colleagues and other control functions (e.g. credit, tax etc) in EMEA and globally (US and Asia).
  • Representing the J.P. Morgan Equity Finance Business at industry level and actively participating in various industry forums and working groups.
Requirements
 
We are looking for a highly motivated lawyer with the ability to work semi-supervised supporting a fast-paced and dynamic business who will work closely with the business representatives in addition to other corporate functions within the Firm. The role is based in the Legal Department and involves a proportionate amount of time being spent with the business on the trading floor.
 
Essential skills
  • Qualified lawyer
  • Good experience within the Legal Department of a premier investment bank or in private practice (preferably with in-house experience). 
  • An understanding of the impact of relevant regulations in the UK and EMEA (including SFTR and MiFID/R) would also be helpful.
  • Excellent time management skills
