JOB OVERVIEW
 
Position:  Assistant General Counsel, Vice President, for JPMorgan Chase Bank, N.A. based in Hong Kong to advise and support the Investor Services (“IS”) business.
 
IS’s principal securities servicing activities include providing global and domestic custodial services, fund administrative services, securities lending programs, and collateral management services for mutual and pension funds, managed investment schemes, multi-national corporations, banks and non-bank financial institutions and government bodies worldwide.
 
REPORTING LINE
The position reports to IS Regional Senior Counsel for APAC, based in Hong Kong. 
 
RESPONSIBILITIES
Provide legal support and advice to the IS business in APAC.
 
In particular, legal support will include:
  • Conducting legal due diligence and advising on APAC IS product initiatives
  • Drafting and negotiating a variety of contracts (including global & direct custody agreements, fund accounting & related services agreements, securities lending agreements, and collateral management services agreements)
  • Liaising with regional and global IS colleagues and with product and services specialists regionally and globally
  • Advise management and key stakeholders on legal, regulatory, risk and compliance matters relating to the IS business
  • Devise and provide training to lawyers as well as IS business personnel on a range of IS related legal topics
  • Participate on regional and global IS initiatives, including developing templates, know-how, best practices and procedures
  • Liaising with and negotiating contractual documentation with clients’ counsel
  • Instructing and working with outside counsel
  • Manage relationships with outside counsel (including managing legal costs, provision of training and know-how)
  • Assistance with regulatory enquiries and investigations

 

  • Common law jurisdiction qualified with 4 to 8 years legal experience (optimally, a combination of experience as in-house counsel in the financial services industry and as a lawyer in a top tier law firm)

  • Strong drafting, negotiation and legal analytical skills

  • Excellent communication skills, both written and oral, together with the ability to communicate effectively with colleagues on all levels locally, regionally and globally

  • Ability to prioritise and manage workflow in an active and multi-jurisdictional transactional environment

  • Work collaboratively with internal stakeholders across Front Office, Operational, Risk and Compliance functions

  • Ability to timely and appropriately identify and escalate issues

  • Ability to work under pressure, prioritize and respond to business needs and goals

  • Ability to adapt and apply legal skills in new businesses and subjects in which  lawyer may not have expertise, and willingness to develop and excel beyond his/ her comfort zone

  • A strong and motivated team player with a desire to work as a member of a skilled and dynamic team

  • Optimally, prior experience in the area of custodial, funds and/or securities related services
